This Subscription and Billing Policy (“Policy”) outlines the terms governing the subscription plans, trial periods, billing procedures, and cancellation rights applicable to services provided by AlgoIndex.com Inc. (“AlgoIndex”, “we”, “our”, or “us”).

By subscribing to any plan or service offered on AlgoIndex.com, you agree to the following terms:

1. SUBSCRIPTION PACKAGES

We offer two subscription plans:

– **Manual Alerts Plan** – $89/month: Access to alert notifications only, with no automated execution.

– **Full Automation Plan** – $389/month: Includes algorithmic alerts and automated SPX/SPY 0DTE trade execution (via third-party bridge such as TradersPost).

All subscriptions are billed monthly in U.S. dollars (USD).

2. FREE TRIAL

We offer a **14-day free trial** on eligible plans. You must provide valid payment information to begin the trial.

– If not canceled before the 14th day, your subscription will auto-renew and the card on file will be charged.

– Trials are limited to one per user or organization.

3. BILLING & RENEWAL

All subscriptions renew automatically on a monthly basis unless canceled.

– Your billing cycle begins on the date of initial payment following the trial period.

– Charges will appear as “AlgoIndex.com Inc.” on your payment method.

4. PAYMENT METHODS

We accept credit and debit cards via secure payment processors (e.g., Stripe). You authorize us to charge the card on file each billing cycle unless canceled.

5. REFUNDS

We do **not** offer refunds once a subscription has been billed following the free trial.

– No partial refunds are issued for unused time.

– If you cancel mid-month, you will retain access until the end of your current billing cycle.

6. CANCELLATION POLICY

You may cancel your subscription at any time via your account settings or by contacting support. Cancellation will prevent renewal; it does not generate a refund for the current cycle.

7. ACCOUNT ACCESS & TERMINATION

If payment fails or a charge is disputed, your account may be suspended. We reserve the right to terminate access for violation of these terms, suspected abuse, or nonpayment.

8. CHANGES TO PRICING OR TERMS

We reserve the right to modify pricing, features, or billing terms. Any changes will be communicated in advance via email or platform notice.

9. TAXES

Users are responsible for any applicable sales, VAT, or local taxes related to their subscription. Prices listed do not include taxes unless explicitly stated.

Introduction
This Refund and Cancellation Policy sets forth the terms and conditions governing refunds for purchases made through AlgoIndex.com (“AlgoIndex” or “we”) and the procedures for canceling services or subscriptions. AlgoIndex provides digital products and services (such as software, subscriptions, data access, or other online content). Because of the nature of digital goods and our commitment to maintaining fair usage, all sales are generally considered final. By completing a purchase on our site, you agree to this policy. Please read it carefully so you understand whether you are eligible for a refund, under what conditions a refund may be granted, and how you can cancel any ongoing services or subscriptions.

General Refund Policy – All Sales Are Final
Digital Products: Unless otherwise stated in this policy, all purchases of digital products, content, and services from AlgoIndex are final and non-refundable. Once you have been granted access to a digital product or service (for example, once a software download link is issued, an API key is delivered, or membership content is unlocked), we cannot revoke your access or “return” the digital content. For this reason, we do not offer refunds or exchanges for digital products, except in the specific circumstances described below. We strongly encourage you to review product information, system requirements, and any free previews or trial versions (if available) before making a purchase to ensure that the product meets your needs. If you have questions about a product, please contact us before purchasing.

Subscriptions: If you enroll in a subscription service with recurring billing (for example, a monthly or annual plan for access to AlgoIndex premium content or tools), you may cancel your subscription at any time, but pre-paid subscription fees are non-refundable except where required by law. When you cancel a subscription, you will continue to have access to the subscribed service until the end of your current billing period, and you will not be charged again thereafter. Canceling a subscription simply stops the automatic renewal of the service; it does not trigger a refund for the current term. We do not provide prorated refunds for unused portions of a billing cycle. It is your responsibility to cancel in a timely manner to avoid future charges. You can cancel a subscription through your account settings on AlgoIndex.com or by contacting our customer support (see “How to Request a Refund or Cancellation” below for contact details).

EU 14-Day Right of Withdrawal (For EU/EEA Customers)
If you are a consumer residing in the European Union (or another jurisdiction with similar consumer protection laws), you may be entitled to a statutory 14-day “cooling-off” period for certain purchases. This means that for eligible digital products or services, you have the right to cancel your purchase within fourteen (14) days from the date of the transaction without giving any reason and receive a refund. However, please note the following important exception: If you purchase digital content from AlgoIndex and request or consent to immediate access/download, you waive your right to cancel once the digital content has been delivered. Specifically, for instant-access digital products (such as software downloads, data feeds, or online content access), we will ask for your express consent to start providing the service or content immediately. By agreeing and starting to download, stream, or otherwise access the digital product, you acknowledge that you lose the right to withdraw from the contract under Article 16(m) of the EU Consumer Rights Directive (or equivalent local law). In practical terms, this means:

• If you have not accessed or downloaded the digital product and are within the 14-day period, you may request a cancellation and refund.
• If you have begun the download, usage, or access to the digital product (after giving consent to immediate supply and waiver of withdrawal right), you cannot later claim a refund under the 14-day cooling-off rule.

We will honor all valid cancellation requests from EU/EEA customers in accordance with applicable law. If you are an EU customer and you did not expressly consent to immediate delivery of digital content, or if the product/service is not yet delivered, you may exercise your right of withdrawal within 14 days by notifying us (see instructions below). We will then disable your access to the product and issue the appropriate refund within 14 days of receiving your cancellation notice. Note that this EU cooling-off right typically does not apply to certain services such as fully performed services, perishable or time-sensitive content, or personalized items.

Other Legal Rights and Exceptions
While our general policy is no refunds, AlgoIndex will abide by all applicable consumer protection laws and regulations. This means if the law of your jurisdiction provides you certain refund or cancellation rights that cannot be waived or limited by contract, we will honor those rights. For example, if a product is faulty, not as described, or fails to function as advertised, you may be entitled to a repair, replacement, or refund under consumer law. In such cases, please contact us and provide details of the issue. We may request evidence of the problem (such as screenshots or error messages) to assist in troubleshooting. Where the product is indeed defective or misrepresented, we will work with you to provide a suitable remedy — which could include correcting the issue, extending your subscription, or issuing a partial or full refund, depending on the circumstances. This policy does not intend to limit any statutory warranties or legal guarantees that apply to your purchase by law.

Additionally, in extraordinary circumstances not covered above (for instance, a billing error on our part, a duplicate charge, or a serious technical issue with our service that makes it unusable for a prolonged period), AlgoIndex may, at our sole discretion, decide to issue a refund or credit as a customer service gesture. Such cases are evaluated individually and are not a waiver of our no-refund policy for future transactions. We strive for customer satisfaction and will be reasonable within the bounds of our policy.

Cancellation of Services
If you wish to cancel an ongoing service or subscription with AlgoIndex, you should do so before your next billing date to avoid further charges. As noted above, canceling a subscription stops future billing but generally does not result in a retroactive refund of fees already paid. To cancel, log in to your AlgoIndex account, navigate to the account or subscription management section, and follow the prompts to cancel or turn off auto-renewal. If you encounter any difficulty using the online cancellation method, you may contact our support team for assistance, and we can process the cancellation for you (effective on the date of your request or at the end of the current billing cycle, as applicable). For one-time services that are delivered over a period (for example, a consulting package or a data service for a fixed duration), you may terminate the service by notifying us, but refunds will be handled according to the terms of purchase you agreed to (e.g., if there was a minimum commitment or a notice period specified in the contract, those terms will apply).

Please note that deleting your user account or stopping use of the website will not automatically cancel an active subscription or entitle you to a refund. You must explicitly follow the cancellation procedures described for the specific service.

How to Request a Refund or Cancellation
To request a refund (in the limited cases where refunds are permitted) or to inquire about a cancellation: please contact our customer support team. The preferred method is to send an email to [email protected] with the subject line “Refund Request” or “Cancellation Request,” as appropriate. In your message, include the following information:

• Order details: Provide your order number, purchase confirmation code, or subscription account email so we can locate your transaction.
• Date of purchase: The date you made the purchase or the date of the last renewal.
• Product/Service: The name of the product, digital content, or subscription you are referring to.
• Reason (if any): While not always required (especially for exercising a statutory right), a brief explanation of why you are requesting a refund or cancellation will help us process your request and improve our services. For example, let us know if you believe the product is defective, if you’re a consumer exercising an EU withdrawal right within 14 days, or if there was an issue like being charged incorrectly.
• Your contact information: Include your full name and the email associated with your AlgoIndex account or purchase, if different from the one you’re using to contact us.

Once we receive your request, we will confirm receipt and may follow up if additional information is needed. Eligible refund requests will be processed as soon as reasonably possible. If approved, refunds will be issued to the original payment method used for the purchase. Please allow a reasonable time for the credit to appear on your account; processing times can vary depending on your bank or payment provider (typically 5–10 business days after approval).

For subscription cancellations, we will send a confirmation of cancellation via email or through your account interface. After cancellation, you will not be billed further, but you will retain access to the service for the remainder of any period you’ve already paid for. We recommend saving the cancellation confirmation for your records. If you do not receive a confirmation within a few business days of your request, please reach out again to ensure we have processed it.

No Waiver of Policy
By issuing a refund or allowing a cancellation in any particular case, AlgoIndex does not waive its right to enforce this Refund and Cancellation Policy in the future. Each request is unique, and any decision we make on a case-by-case basis is at our discretion and does not set a precedent. We reserve the right to decline refund requests that do not meet the conditions outlined in this policy.

Changes to This Policy

1. Acceptance of Terms

This Terms of Service agreement (the “Terms“) is a legally binding contract between you (the “User“) and the owner of the AlgoIndex.com platform (“AlgoIndex,” “we,” “us,” or “our“). By accessing or using the AlgoIndex website, algorithmic trading software, Discord channel, or any related services (collectively, the “Service“), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service. Use of the Service is expressly conditioned on your acceptance of these Terms.

By using the Service, you represent that you are at least 18 years old (or the age of legal majority in your jurisdiction) and are otherwise legally able to enter into this agreement. The Service is offered to users in the United States and the European Union; if you access the Service from other jurisdictions, you do so on your own initiative and are responsible for compliance with any applicable local laws. These Terms may be updated by us from time to time (see Section 8 below regarding modifications), and continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Services

AlgoIndex provides an online platform offering algorithmic trading software and access to an educational Discord channel focused on trading strategies. The software may include algorithmic trading indicators, strategies, or signals for financial markets, and the Discord channel allows subscribers to discuss educational content, trading insights, and related topics. AlgoIndex is not a brokerage, exchange, or registered investment advisor, and it does not execute trades or handle customer funds; instead, it provides tools and information to assist Users in their own trading activities.

The Service is provided for educational and informational purposes only. No personalized financial advice or broker services are offered. No user accounts are required to utilize the Service; AlgoIndex does not require you to register a personal account or provide personal data simply to access its website or basic features. If you choose to subscribe after the free trial (see Section 3), the minimal information needed for billing (e.g. payment details and an email for receipt/communication) will be handled in accordance with our policies, and we do not collect or store additional personal information beyond what is necessary for subscription management. We are committed to user privacy and do not sell or share users’ personal data.

Access to the Discord channel is included as part of the Service for subscribers. Use of the Discord channel is subject to these Terms and Discord’s own terms of service. We expect all Users to engage in a respectful and lawful manner on our Discord community, consistent with the Acceptable Use rules in Section 7. AlgoIndex may moderate the Discord channel and remove any content or users that violate these Terms or Discord’s policies.

3. Subscription and Billing Terms

AlgoIndex offers a subscription-based model with a free trial for new users, followed by a recurring monthly paid subscription. By subscribing to the Service, you agree to the following terms regarding trials, billing, and cancellation:

• Free Trial: New users are entitled to a one-time free trial of the Service for a period of fourteen (14) days. During the 14-day free trial, you will have access to the algorithmic trading software and Discord channel without charge. No fees will be charged during the trial period. The free trial begins when you first gain access to the Service. You may cancel at any time during the trial (see “Cancellation” below) if you do not wish to continue with a paid subscription.
• Auto-Conversion to Paid Subscription: Unless you cancel before the end of the 14-day trial, your trial will automatically convert to a paid subscription at the end of the trial period. On the day immediately following the last day of the free trial, the payment method you provided (if applicable) will be charged the monthly subscription fee, and your paid subscription term will begin. By providing payment information for the trial, you consent to this automatic charge if you do not cancel before the trial ends.
• Monthly Subscription and Billing: The standard subscription is a month-to-month paid membership. Subscription fees and billing intervals (monthly, unless otherwise stated) are disclosed at the time of subscription sign-up. All fees are in U.S. dollars (USD) unless specified otherwise. You authorize AlgoIndex (or its third-party payment processor) to charge your provided payment method the applicable subscription fee on a recurring monthly basis. This charge will occur automatically at the beginning of each subscription period (after any free trial) until you cancel the subscription. It is your responsibility to ensure that your payment information is accurate, complete, and up-to-date. If we are unable to process your payment (for example, due to an expired or invalid card), we may suspend or terminate your access to the Service at our discretion.
• Cancellation: You may cancel your subscription at any time. Cancellation will prevent future renewal charges, and you will continue to have access to the Service until the end of the then-current paid month (unless we specify otherwise at the time of cancellation). To cancel, you can follow the instructions provided on our website or contact us using the Contact Information in Section 11. It is your responsibility to cancel before the next billing date to avoid further charges. If you cancel during a free trial, your access will terminate immediately at the end of the trial and you will not be charged. If you cancel an ongoing paid subscription, no further charges will be made after the effective cancellation date, but no prorated refund will be given for the remaining days in the current billing cycle (except where required by law or explicitly stated by us).
• Refunds: Subscription fees are non-refundable once paid, except as required by law or unless a refund is explicitly provided for under a special guarantee or promotion. AlgoIndex does not provide refunds or credits for partially used subscription periods. If you believe extraordinary circumstances warrant a refund, you may contact us, but we make no guarantee of refund absent a legal requirement.
• Changes to Fees: AlgoIndex reserves the right to modify the subscription fees or introduce new fees for the Service. If the price of your subscription is due to change, we will provide you with reasonable advance notice (for example, by email or by posting a notice on our website). Fee changes will not apply retroactively and will generally take effect at the start of your next billing cycle following the notice. If you do not agree to a fee change, you must cancel your subscription before the new fee takes effect. Continued use of the Service after the fee change constitutes acceptance of the new fees.

All billing and payment processing for AlgoIndex may be handled by a third-party payment processor. By subscribing, you agree to abide by any terms and conditions of the payment processor in addition to these Terms. You are responsible for any taxes or duties applicable to your subscription (other than taxes on AlgoIndex’s income). We do not store your full payment card information on our systems; any such information is handled securely by the third-party processor.

4. No Financial Advice Disclaimer

AlgoIndex is not a financial advisor, investment advisor, or broker-dealer, and no content or software provided through the Service constitutes financial, investment, or trading advice. All information, signals, algorithms, strategies, analysis, and educational materials available on AlgoIndex (including those shared in the Discord channel or through our software) are provided for general informational and educational purposes only. Such content is not tailored to your personal financial situation or objectives, and you should not interpret any Service output (such as an algorithmic trading signal or commentary) as a recommendation to buy, sell, or hold any particular security, commodity, cryptocurrency, or financial instrument.

You acknowledge and agree that you are solely responsible for all investment and trading decisions you make. Any actions you take in the financial markets, including trades placed or strategies implemented based on information or tools from AlgoIndex, are done at your own discretion and risk. 5. Risk Acknowledgment for Trading Activities

By using AlgoIndex’s algorithmic trading software and related services, you understand and accept that trading in financial markets is inherently risky. You acknowledge the following risks and conditions associated with trading activities:

• Market Risk and Potential Losses: Trading securities, futures, options, cryptocurrencies, or any financial instruments involves significant risk. Financial markets are volatile, and the use of algorithmic strategies does not eliminate the possibility of losses. You may lose some or all of your invested capital, and losses may occur rapidly. In some cases, losses could exceed the amount you initially invested (for example, if you trade on margin or use leveraged instruments). Only risk capital (funds you can afford to lose) should be used for trading.
• No Guarantee of Profits or Success: Past performance is not indicative of future results. Any historical performance metrics, backtesting results, win rates, or profit examples provided by AlgoIndex (whether on the website, in marketing materials, or within the software/Discord) are illustrative and hypothetical. There is no guarantee that any algorithm, strategy, or information provided will result in profits or achieve any particular outcome. AlgoIndex makes no promise or guarantee that you will earn money or avoid losses by using the Service.
• Algorithmic & Technical Risks: The use of automated or algorithmic trading software carries unique risks. Algorithms may perform unpredictably under changing market conditions or may contain errors (“bugs”). Technical issues such as software glitches, internet connectivity failures, data feed errors, exchange outages, or broker malfunctions can occur and may result in unintended orders, missed opportunities, or duplicate/erroneous transactions. You are responsible for monitoring your trading activities and ensuring that any automated strategies are functioning as intended. Be aware that mechanical or software-based trading systems can fail.

You agree not to hold AlgoIndex liable for your trading decisions or the outcomes that result from them (subject to the Limitation of Liability in Section 9).

By using the Service, you affirm that you understand the risk disclosures above. Trading is risky by nature, and you proceed at your own risk. If you do not understand or accept these risks, do not use the algorithmic trading features of the Service.

6. Intellectual Property Rights

All content, software, data, and materials provided through the AlgoIndex Service, including but not limited to the algorithmic trading code (such as any proprietary strategies or scripts), indicators, website text, graphics, logos, trademarks, videos, charts, and the design and “look and feel” of the AlgoIndex website (collectively, the “Content“), are the intellectual property of AlgoIndex or its licensors and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws. AlgoIndex™ and any associated logos or brand names are trademarks or service marks of AlgoIndex. All rights, title, and interest in and to the Service and its Content are and will remain the exclusive property of AlgoIndex and/or its licensors.

Limited License: Subject to your compliance with these Terms and your payment of any applicable subscription fees, AlgoIndex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and Content for your personal use (or internal business use, if you are an entity) for lawful purposes as intended by the Service. This license allows you to use the algorithmic trading software on supported platforms for your own trading and to view the educational content provided, but it does not transfer any ownership or intellectual property rights to you. You agree that you are not acquiring any ownership interest in any Content or software provided by AlgoIndex.

Restrictions: Except as expressly permitted by AlgoIndex in writing, you shall not:

• Copy, reproduce, distribute, publish, display, perform, transmit, license, sublicense, create derivative works from, or otherwise exploit any part of the Service or Content. This includes no sharing or reselling of AlgoIndex’s proprietary software, code, or signals to any third party, and no posting of members-only content from the Discord or platform in a public forum.
• Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying algorithms of any software or Content provided by AlgoIndex, except to the limited extent that applicable law expressly permits such acts notwithstanding this limitation.
• Remove, obscure, or alter any copyright notices, trademarks, or other proprietary rights markings on the AlgoIndex website or within the software.
• Use any of AlgoIndex’s trademarks, logos, or brand names without our prior written consent. This includes using “AlgoIndex” or confusingly similar names in the names of your own products or services.
• Use the Content for any commercial purpose or for the benefit of any third party, other than as allowed by the limited personal-use license above.

Any unauthorized use of AlgoIndex’s intellectual property is a breach of these Terms and may also violate federal and state laws. AlgoIndex reserves all rights not expressly granted to you in these Terms. We may terminate the limited license granted to you at any time if you violate any provision of these Terms, in which case you must immediately cease all use of the Service and Content.

If you provide any feedback, suggestions, or ideas regarding the Service to AlgoIndex (for example, suggestions to improve features), you agree that AlgoIndex may use and exploit this feedback without any obligation to you, and any intellectual property rights in such feedback will become the sole property of AlgoIndex.

7. Acceptable Use

You agree to use AlgoIndex’s Service and Discord community in a lawful and respectful manner. When accessing or using the Service, you must not engage in any of the following prohibited activities:

• Illegal or Unauthorized Activities: Do not use the Service for any unlawful purpose or in violation of any local, state, national, or international law or regulation. This includes, but is not limited to, insider trading, market manipulation, fraud, money laundering, or any activity that would violate financial regulations. You are responsible for ensuring that your use of algorithmic trading tools complies with all applicable laws and exchange rules.
• Infringement of Rights: Do not infringe or violate the intellectual property rights, privacy rights, or other rights of AlgoIndex or any third party. This means you must not upload, post, transmit, or otherwise distribute through the Service any content that you do not have the right to use, and you must not misuse AlgoIndex’s own Content in ways not permitted by these Terms. Pirating or redistributing AlgoIndex’s proprietary software or content is strictly prohibited.
• Disruption or Harmful Conduct: Do not interfere with or disrupt the proper functioning of the Service, servers, or networks connected to the Service. Prohibited conduct includes: introducing any virus, worm, malware, Trojan horse, or other harmful code; launching any denial-of-service (DoS) attack or attempting to overload the Service infrastructure; or engaging in any other activity that interferes with another user’s access to or use of the Service. You also agree not to attempt to gain unauthorized access to any portion or feature of the Service or to any systems or networks of AlgoIndex (for example, by hacking, password “mining,” or any other illegitimate means).
• Automated Queries or Scraping: Do not use any robot, spider, scraper, crawler, script, or other automated means to access, query, or index the Service or to collect information or data from the Service without AlgoIndex’s express prior written permission. You agree not to harvest or scrape email addresses or other contact information of other users from the Discord or platform for any purpose.
• Sharing and Unauthorized Access: Do not share your subscription access with anyone else. The Service (including Discord access and software licenses) is intended for use solely by the subscribing User. You must not provide, resell, sublicense, or otherwise make available any portion of the Service to any third party not authorized by AlgoIndex. Likewise, you should not use another user’s credentials or account (if any) to access the Service. Since AlgoIndex does not use user accounts for login, any authentication mechanism for subscribers (such as invite links or license keys) must be kept confidential. You are responsible for maintaining the security of any invite link, API key, or license key provided to you; do not share these credentials. If you suspect that someone who is not authorized has gained access to the Service using your credentials, you must notify us immediately.
• Misuse of Discord Channel: When participating in AlgoIndex’s educational Discord channel, you must adhere to standards of respectful, relevant discourse. Harassment, hate speech, discriminatory or abusive language, bullying, or personal attacks will not be tolerated. Do not spam the channel with advertisements or solicitations, and do not post any inappropriate, obscene, or pornographic content. Additionally, do not share false or misleading information in a manner that could harm other users (such as pumping a stock with false claims). The Discord channel is intended for educational discussion — you must not use it to offer paid services, promote unrelated products, or conduct any illegal activity.
• Impersonation and Misrepresentation: Do not impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity while using the Service. You should be truthful about your identity in the community (except that using a consistent pseudonym/username without misrepresenting your identity is generally acceptable, as per Discord’s standards).
• Security Testing: You must not probe, scan, or test the vulnerability of the Service or any associated system or network, or breach any security or authentication measures. Security research or penetration testing of AlgoIndex’s systems is not allowed without our prior written consent.

Any violation of the above Acceptable Use provisions is grounds for immediate termination or suspension of your access to the Service (including removal from the Discord channel) at AlgoIndex’s sole discretion, in addition to any other legal remedies that may be available. We reserve the right to investigate any alleged violations and to work with law enforcement authorities to prosecute users who violate the law through the use of the Service.

8. Service Availability and Modification

Service Availability: AlgoIndex aims to provide a reliable and accessible Service, but we do not guarantee 100% uptime or uninterrupted access. You acknowledge that the Service may occasionally be unavailable or limited due to scheduled maintenance, updates, technical problems, network delays, or factors beyond our control (such as internet outages or force majeure events). No uptime guarantee or warranty is given. We will attempt to schedule maintenance during low-usage times and, when feasible, to provide advance notice of significant downtime, but we are not obligated to do so. AlgoIndex shall not be liable for any inability to access the Service, any suspension of Service, or any losses (such as missed trading opportunities or other damages) that result from Service unavailability or technical issues.

Modification of Service: AlgoIndex reserves the right to modify, update, or discontinue the Service (in whole or in part) at any time, with or without notice. This includes the right to add, remove, or change features or functionality of the algorithmic trading software or Discord channel, to release updated versions of software, to migrate to new infrastructure, or to cease offering certain tools or content. We may also impose limits on certain features or restrict your access to parts or all of the Service without notice or liability. For example, we may cap the number of devices on which you can use the software, or adjust the Discord channel offerings, or discontinue the free trial program or certain subscription plans. These actions might be necessary for security reasons, legal compliance, technical improvements, or business reasons. You agree that AlgoIndex shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We will try to communicate material changes to the Service or its availability (for instance, a major change in the software or a planned downtime) via the website, Discord, or email when reasonably possible. However, it is ultimately your responsibility to stay informed about the current functionality and availability of the Service.

Modification of Terms: AlgoIndex may amend or update these Terms from time to time. If we make material changes to the Terms, we will notify users by posting the revised Terms on our website (with a new “Last Updated” date at the top) and/or by other reasonable means (such as email notification, if appropriate). You agree to review the Terms periodically. Your continued use of the Service after updated Terms have been posted constitutes your acceptance of the revised Terms. If you do not agree with any changes to the Terms, you must stop using the Service and (if applicable) cancel your subscription. Except as otherwise expressly stated, all new or revised features and services that we provide shall be subject to these Terms.

9. Limitation of Liability

Disclaimer of Warranties: The AlgoIndex Service is provided on an “AS IS” and “AS AVAILABLE” basis, without any warranty of any kind. To the fullest extent permitted by law, AlgoIndex disclaims all warranties, express or implied, relating to the Service or any Content provided, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties that may arise from course of dealing or course of performance. We do not warrant that the Service will meet your requirements or expectations, that it will be uninterrupted, timely, secure, or error-free, or that any results obtained from its use (including any trading signals or outcomes) will be accurate or reliable. AlgoIndex makes no guarantee that the information or content you obtain through the Service is correct, complete, or up-to-date. You are solely responsible for verifying any information before relying on it. No advice or information (whether oral or written) obtained by you from AlgoIndex or through the Service shall create any warranty not expressly stated in these Terms.

Limitation of Liability: To the maximum extent permitted by applicable law, AlgoIndex and its affiliates, officers, directors, employees, agents, licensors, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever, arising out of or related to your use of (or inability to use) the Service or any content, software, or functionality of the Service. This exclusion of liability applies regardless of the theory of liability (contract, tort, negligence, strict liability, statutory or otherwise) and even if we have been advised of the possibility of such damages. This means that we are not liable for, among other things:

• Loss of profits or revenues;
• Loss of actual or anticipated trading profits, or other economic losses;
• Loss of data, goodwill, business opportunity, or reputation;
• Trading losses or investment losses of any kind;
• Computer damage or system failure;
• Any other indirect or consequential damages, however caused.

Additionally, to the extent permitted by law, the total aggregate liability of AlgoIndex (and its affiliates and agents) for any claims arising out of or relating to the Service or these Terms shall not exceed the amount you paid to AlgoIndex in subscription fees in the 12 months immediately preceding the event giving rise to the claim (or, if you are on a free trial or have not paid any subscription fees, \$0). We specifically intend that this limitation applies cumulatively across all claims and causes of action.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities (for example, certain states do not allow the disclaimer of implied warranties or the exclusion of liability for gross negligence or willful misconduct). If any such law applies to you, some of the disclaimers or limitations above may not fully apply to you, and in that case, AlgoIndex’s liability will be limited to the maximum extent permitted by law. Nothing in these Terms is intended to exclude or limit any condition, warranty, right, or liability which may not be lawfully excluded or limited.

You acknowledge and agree that the fees (if any) charged for the Service reflect the allocation of risk set forth in these Terms and that AlgoIndex could not offer the Service to you on an economically feasible basis without these limitations of liability and disclaimers of warranties. This Section 9 shall survive termination or expiration of these Terms.

10. Governing Law and Jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Terms or your use of the Service, shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. By using the Service, you agree that the laws of Delaware will govern any disputes between you and AlgoIndex.

Jurisdiction and Venue: You further agree that any legal action or proceeding arising under these Terms or related to the Service shall be brought exclusively in the state or federal courts located in the State of Delaware. You consent to the exclusive personal jurisdiction of such courts, and waive any objections or defenses based on lack of personal jurisdiction or forum non conveniens. You agree that Delaware is a convenient forum for any litigation and that you will not assert otherwise.

If you are accessing the Service from the European Union or another jurisdiction outside the United States, you understand that you are voluntarily subjecting yourself to the jurisdiction of the courts in Delaware, USA, as specified above, to the extent permissible under your local laws. Notwithstanding the foregoing, AlgoIndex retains the right to seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or confidential information.

No Class Actions: To the extent permitted by law, you and AlgoIndex agree that any disputes will be resolved only on an individual basis and that you will not bring or participate in a class, consolidated, or representative action against the other party.
