AlgoIndex Affiliate Program Agreement

1. Definitions

Program - the AlgoIndex Affiliate Program governed by this Agreement.

Affiliate Link / Referral Code - the unique tracking URL or code AlgoIndex issues to you.

Referred Customer - a new customer who is not an existing or prior AlgoIndex customer, who clicks your Affiliate Link, and who subscribes to a paid AlgoIndex plan within the Attribution Window, attributed to you under Section 3.

Qualifying Payment - a subscription payment actually received and cleared by AlgoIndex from a Referred Customer, net of refunds, chargebacks, credits, discounts, coupons, and processing fees.

Commission - the amount payable to you under Section 4 on a Qualifying Payment.

Attribution Window - the period defined in Section 3 during which a click is credited to you.

Hold/Maturity Period - the period under Section 5 before an accrued Commission becomes payable.

2. Enrollment & Eligibility

2.1 To participate you must (a) enroll through the AlgoIndex affiliate sign-up, (b) accept this Agreement electronically, and (c) provide accurate payout and tax information. AlgoIndex may issue you an Affiliate Link only after acceptance is recorded.

2.2 You must be at least 18 years old and legally able to enter into this Agreement. If you enroll on behalf of an entity, you represent that you are authorized to bind it.

2.3 AlgoIndex may approve, decline, suspend, or remove any applicant or Affiliate at its sole discretion. Enrollment does not create any exclusivity, territory, quota, or guaranteed earnings.

2.4 AlgoIndex employees, contractors, and their immediate households are not eligible to earn Commissions on their own or related accounts.

3. Referral Tracking & Attribution

3.1 Attribution Window. A click on your Affiliate Link sets a tracking cookie lasting ninety (90) days. If the referred person subscribes to a paid plan within that window, the sale is attributed to you, subject to this Agreement.

3.2 Last click. Where multiple Affiliates' cookies are present, the most recent qualifying click governs.

3.3 No self-referral. You may not earn Commissions on your own subscriptions or on accounts you control, and you may not use your Affiliate Link for your own purchase. Same-person, same-payment-instrument, same-household, or same-tenant referrals do not qualify.

3.4 AlgoIndex tracking is authoritative. Commission eligibility and amounts are determined by AlgoIndex's own tracking and billing records, which are final absent manifest error.

4. Commissions

4.1 Commission schedule. AlgoIndex pays you a recurring commission on each Qualifying Payment received from a Referred Customer, at a rate that steps down over that customer's first twelve monthly payments: payment months 1 to 3 earn 40%; payment months 4 to 12 earn 25%; payment month 13 and after earn 0% (no further Commission).

4.2 12-month cap. Commissions accrue on a Referred Customer's first twelve (12) monthly Qualifying Payments only. After the twelfth Qualifying Payment from a given Referred Customer, no further Commission accrues on that customer, regardless of how long they remain subscribed.

4.3 Percentage of amount actually paid. Each Commission is the applicable percentage of the amount actually received that period, net of discounts, promotional pricing, coupons, credits, taxes, and processing fees. By way of example, a first-month promotional discount reduces that month's Commission proportionally.

4.4 No Commission without payment. Commissions accrue only on payments AlgoIndex actually receives and clears. Sign-ups, trials, unpaid periods, and unconverted leads earn nothing.

4.5 AlgoIndex may modify Commission rates, the schedule, the cap, qualifying criteria, and Program structure prospectively under Section 12. Changes do not affect Commissions already matured and payable.

5. Payment Terms

5.1 Hold / Maturity Period. An accrued Commission becomes payable only after a forty-five (45) day hold from the date the underlying Qualifying Payment cleared. This protects against refunds, chargebacks, and cancellations.

5.2 Clawback / reversal. If a Qualifying Payment is later refunded, charged back, disputed, reversed, or the subscription is cancelled or found fraudulent or in breach of AlgoIndex terms, the associated Commission is void. If it was already paid, AlgoIndex may deduct (claw back) the amount from your future Commissions or invoice you for it.

5.3 Minimum payout & schedule. Matured Commissions are paid monthly once your payable balance reaches a minimum of US$50. Balances below the minimum roll forward until the threshold is met.

5.4 Method. Payments are made by PayPal to the verified account you provide. You are responsible for the accuracy of your payout details and for any third-party transfer fees. AlgoIndex is not liable for payments sent to an incorrect account you supplied.

5.5 Currency. All Commissions are calculated and paid in US dollars.

5.6 Unclaimed / inactive. AlgoIndex may withhold or cancel Commissions for accounts that are inactive, unreachable, or that fail to provide valid payout or tax information for ninety (90) days after request, to the extent permitted by law.

6. Taxes

6.1 You are solely responsible for all taxes on Commissions you earn. AlgoIndex does not withhold taxes.

6.2 You must provide a completed IRS Form W-9 (US persons) or Form W-8BEN/W-8BEN-E (non-US persons) before any payout. AlgoIndex may issue an IRS Form 1099 where required (generally for US persons paid US$600 or more in a calendar year) and may withhold payouts until valid tax information is on file.

6.3 You represent that the tax information you provide is accurate and will be kept current.

7. Promotional Conduct - Required Practices

You must comply with all of the following whenever you promote AlgoIndex. These rules exist because AlgoIndex operates in a regulated financial-education space, and your conduct is attributed to AlgoIndex.

7.1 FTC disclosure (mandatory). In every post, video, email, page, or message promoting AlgoIndex, you must clearly and conspicuously disclose that you have a paid/affiliate relationship with AlgoIndex and may earn a commission, consistent with the FTC's Endorsement Guides (16 CFR Part 255). Disclosures must be hard to miss (e.g., "Affiliate - I earn a commission if you subscribe"), not buried.

7.2 No income, profit, or performance claims. You may not state or imply that AlgoIndex will or is likely to make anyone money, generate profits, "beat the market," produce any particular return, or be "risk-free," "guaranteed," or similar. You may not present cherry-picked wins, fabricated results, or any earnings/performance promise.

7.3 Risk disclaimer. Where you describe the product or any trading outcome, you must include a clear risk statement to the effect that trading futures and options involves substantial risk of loss, is not suitable for all investors, and past or hypothetical performance does not guarantee future results.

7.4 Educational, standardized framing. Present AlgoIndex truthfully as educational and standardized market analysis and automation tools. Do not present it, or yourself, as providing personalized investment advice, as a registered investment adviser or broker, or as managing anyone's money or account.

7.5 Truthful, approved representations only. Use only current, accurate descriptions, pricing, and AlgoIndex-approved creative and marks. Do not make false, misleading, deceptive, or exaggerated statements about AlgoIndex, its features, pricing, or affiliation.

7.6 Anti-spam. All email and messaging promotion must comply with the CAN-SPAM Act and applicable anti-spam/telemarketing laws (accurate headers, valid opt-out, no purchased/harvested lists, no unsolicited bulk messaging).

7.7 Search & domain integrity. You may not bid on, or use in paid search, AlgoIndex trademarks, brand terms, or confusingly similar variants; engage in typosquatting; register domains or social handles containing AlgoIndex marks; or run ads that impersonate AlgoIndex or direct to AlgoIndex via your own checkout.

7.8 No incentivized/forced/fraudulent traffic. No cookie stuffing, forced clicks, fake accounts, bot traffic, incentivized clicks, malware, adware, or any artificial inflation of clicks, sign-ups, or payments.

7.9 Placement standards. Do not promote AlgoIndex on, or alongside, content that is illegal, infringing, hateful, sexually explicit, or otherwise objectionable, or in any manner that could reasonably harm AlgoIndex's reputation.

8. Prohibited Conduct & Enforcement

8.1 A breach of Section 7, or any fraudulent, deceptive, illegal, or reputationally harmful conduct, is a material breach. AlgoIndex may, in addition to its other rights, withhold or void Commissions (including matured ones), claw back paid Commissions, suspend or terminate your participation immediately, and report unlawful conduct to authorities.

8.2 AlgoIndex may require you to remove or correct any non-compliant promotion promptly on request.

9. License & Intellectual Property

9.1 Subject to this Agreement, AlgoIndex grants you a limited, revocable, non-exclusive, non-transferable license to use AlgoIndex's name, logos, and approved marketing materials solely to promote AlgoIndex under this Agreement and any brand guidelines we provide.

9.2 All AlgoIndex names, logos, content, and marks remain AlgoIndex's property. You acquire no ownership. You will not modify the marks, use them to disparage AlgoIndex, or use them in any way not expressly permitted. This license ends automatically on termination.

9.3 You retain ownership of content you create, but you grant AlgoIndex a non-exclusive, royalty-free license to reuse and reference your AlgoIndex-related promotional content for AlgoIndex's own marketing.

10. Relationship of the Parties

10.1 You are an independent contractor. Nothing here creates an employment, agency, partnership, joint venture, or franchise relationship.

10.2 You have no authority to bind AlgoIndex, make commitments on its behalf, set prices, accept payments for AlgoIndex, collect customer funds, provide support, or speak for AlgoIndex beyond approved, truthful promotion. You are responsible for your own expenses, taxes, and conduct.

11. Confidentiality

Non-public information AlgoIndex shares with you (including non-public rates, terms, creative, metrics, or customer data) is confidential. You will use it only to perform under this Agreement and will not disclose it. You will not collect, store, or misuse AlgoIndex customer personal data, and you will comply with applicable privacy laws.

12. Modification of the Program & Agreement

AlgoIndex may modify this Agreement, Commission rates, the cap, Attribution Window, payout terms, or any Program feature at any time, effective on posting or other reasonable notice. Material changes may require you to re-accept before continuing. Your continued participation after a change takes effect is acceptance of it. Changes apply prospectively and do not reduce Commissions already matured and payable to you.

13. Term & Termination

13.1 This Agreement begins on your acceptance and continues until terminated.

13.2 Either party may terminate at any time, for any reason, with or without notice.

13.3 Effect of termination. On termination, your Affiliate Link is deactivated and the license in Section 9 ends. If termination is by AlgoIndex for your breach or fraud, or by you, AlgoIndex may withhold all unpaid Commissions to the extent permitted by law. Absent breach, Commissions that have matured and met the minimum payout as of termination will be paid in the ordinary course; unmatured or future Commissions do not survive.

13.4 Survival. Sections 4.4, 5.2, 6, 8, 9.2, 10, 11, 14, 15, and 16 survive termination.

14. Disclaimers; No Earnings Guarantee; Limitation of Liability

14.1 The Program is provided "as is." AlgoIndex disclaims all warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, and uninterrupted or error-free tracking.

14.2 No earnings guarantee to you. AlgoIndex makes no representation that you will earn any amount. Your results depend on your own efforts and factors outside AlgoIndex's control.

14.3 Limitation of liability. To the maximum extent permitted by law, AlgoIndex's total liability arising out of or relating to this Agreement will not exceed the total Commissions paid to you in the six (6) months before the event giving rise to the claim. AlgoIndex is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue.

15. Indemnification

You will indemnify, defend, and hold harmless AlgoIndex and its officers, members, employees, and agents from any claims, damages, liabilities, penalties, and costs (including reasonable attorneys' fees) arising from (a) your promotional content or conduct, (b) your breach of this Agreement (including Section 7), (c) your violation of any law (including FTC, CAN-SPAM, advertising, securities, commodities, tax, or privacy laws), or (d) your misrepresentation of AlgoIndex.

16. Governing Law; Dispute Resolution

16.1 This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-laws rules.

16.2 Any dispute arising out of or relating to this Agreement will be resolved by final and binding arbitration administered under the rules of a recognized arbitration body in Florida, on an individual basis. You and AlgoIndex waive any right to a jury trial and to participate in a class or representative action. Either party may seek injunctive relief in court for intellectual-property or confidentiality violations.

16.3 If Section 16.2 is removed or unenforceable, the state and federal courts located in Florida have exclusive jurisdiction, and the parties consent to venue there.

17. General

17.1 Entire agreement. This Agreement is the entire agreement between you and AlgoIndex regarding the Program and supersedes prior understandings about it.

17.2 Severability. If any provision is unenforceable, the rest remains in effect.

17.3 No waiver. A failure to enforce any provision is not a waiver.

17.4 Assignment. You may not assign this Agreement without AlgoIndex's consent; AlgoIndex may assign it.

17.5 Notices. AlgoIndex may give notice by email to your enrolled address or by posting in the affiliate dashboard. You may contact AlgoIndex at [email protected].

17.6 Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.

17.7 Electronic acceptance. You agree that clicking "I agree" (or equivalent), or participating in the Program, constitutes your electronic signature and binding acceptance of this Agreement, and that AlgoIndex may keep a record of that acceptance (including date, version, and IP address).
