Terms of Service

1. Acceptance of Terms

This Terms of Service agreement (the “Terms”) is a legally binding contract between you (the “User”) and the owner of the AlgoIndex.com platform (“AlgoIndex,” “we,” “us,” or “our”). By accessing or using the AlgoIndex website, algorithmic trading software, Discord channel, or any related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service. Use of the Service is expressly conditioned on your acceptance of these Terms.

By using the Service, you represent that you are at least 18 years old (or the age of legal majority in your jurisdiction) and are otherwise legally able to enter into this agreement. The Service is offered to users in the United States and the European Union; if you access the Service from other jurisdictions, you do so on your own initiative and are responsible for compliance with any applicable local laws. These Terms may be updated by us from time to time (see Section 8 below regarding modifications), and continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Services

AlgoIndex provides an online platform offering algorithmic trading software and access to an educational Discord channel focused on trading strategies. The software may include algorithmic trading indicators, strategies, or signals for financial markets, and the Discord channel allows subscribers to discuss educational content, trading insights, and related topics. AlgoIndex is not a brokerage, exchange, or registered investment advisor, and it does not execute trades or handle customer funds; instead, it provides tools and information to assist Users in their own trading activities.

The Service is provided for educational and informational purposes only. No personalized financial advice or broker services are offered. We are committed to user privacy and do not sell or share users’ personal data.

Access to the Discord channel is included as part of the Service for subscribers. Use of the Discord channel is subject to these Terms and Discord’s own terms of service. We expect all Users to engage in a respectful and lawful manner on our Discord community, consistent with the Acceptable Use rules in Section 7. AlgoIndex may moderate the Discord channel and remove any content or users that violate these Terms or Discord’s policies.

3. Subscription and Billing Terms

AlgoIndex offers a subscription-based model with a one-time signup promotion for new users, followed by a recurring monthly paid subscription. By subscribing to the Service, you agree to the following terms regarding the signup promotion, billing, and cancellation:

• New Subscriber Promotion:New users receive a one-time promotional discount of seventy-five percent (75%) off their first month’s subscription fee at signup (the “New Subscriber Promo”). The discount is applied automatically at checkout and covers the first monthly billing cycle only. Beginning with the second month, the subscription auto-renews at the full monthly rate for the tier you selected. The New Subscriber Promo is limited to one redemption per customer and may not be combined with other promotions unless we explicitly state otherwise. AlgoIndex reserves the right to modify or discontinue the promotion at any time, with changes effective for new signups only.
• Monthly Subscription and Auto-Renewal: The standard subscription is a month-to-month paid membership. Subscription fees and billing intervals are disclosed at the time of subscription sign-up. All fees are in U.S. dollars (USD) unless specified otherwise. You authorize AlgoIndex (or its third-party payment processor) to charge your provided payment method the applicable subscription fee on a recurring monthly basis. The first charge (the discounted New Subscriber Promo amount) occurs at signup; all subsequent charges occur at the start of each renewal period at the full monthly rate, until you cancel the subscription.
• Cancellation: You may cancel your subscription at any time. Cancellation will prevent future renewal charges, and you will continue to have access to the Service until the end of the then-current paid month (unless we specify otherwise at the time of cancellation). To cancel, follow the instructions provided on our website or contact us using the Contact Information in Section 11. It is your responsibility to cancel before the next billing date to avoid further charges. If you cancel an ongoing paid subscription, no further charges will be made after the effective cancellation date, but no prorated refund will be given for the remaining days in the current billing cycle (except where required by law or explicitly stated by us).
• Refunds: All sales are final. Subscriptions are billed monthly in advance. You may cancel at any time via your account settings; cancellation prevents future charges but does not generate a refund for the current billing cycle. AlgoIndex does not provide refunds or credits for partially used subscription periods, except as required by law. Customers in jurisdictions with statutory consumer-protection rights (such as the European Union, European Economic Area, or United Kingdom) may have additional statutory remedies, including the EU 14-day right of withdrawal where applicable. • Changes to Fees: AlgoIndex reserves the right to modify the subscription fees or introduce new fees for the Service. If the price of your subscription is due to change, we will provide you with reasonable advance notice. Fee changes will not apply retroactively and will generally take effect at the start of your next billing cycle following the notice. If you do not agree to a fee change, you must cancel your subscription before the new fee takes effect. Continued use of the Service after the fee change constitutes acceptance of the new fees.

All billing and payment processing for AlgoIndex may be handled by a third-party payment processor. By subscribing, you agree to abide by any terms and conditions of the payment processor in addition to these Terms. You are responsible for any taxes or duties applicable to your subscription (other than taxes on AlgoIndex’s income). We do not store your full payment card information on our systems.

4. No Financial Advice Disclaimer

AlgoIndex is not a financial advisor, investment advisor, or broker-dealer, and no content or software provided through the Service constitutes financial, investment, or trading advice. All information, signals, algorithms, strategies, analysis, and educational materials available on AlgoIndex (including those shared in the Discord channel or through our software) are provided for general informational and educational purposes only. Such content is not tailored to your personal financial situation or objectives, and you should not interpret any Service output (such as an algorithmic trading signal or commentary) as a recommendation to buy, sell, or hold any particular security, commodity, cryptocurrency, or financial instrument.

You acknowledge and agree that you are solely responsible for all investment and trading decisions you make. Any actions you take in the financial markets, including trades placed or strategies implemented based on information or tools from AlgoIndex, are done at your own discretion and risk. We strongly encourage you to consult with a licensed financial advisor or professional before making any investment decisions, especially if you have questions about the suitability of any trading strategy or algorithm for your financial circumstances. AlgoIndex does not guarantee any outcome or profit from use of its Service. All trading strategies and tools are provided without any warranty as to their effectiveness or future performance (see also Section 5 on Risk Acknowledgment and Section 9 on Limitation of Liability). In short, AlgoIndex does not provide financial advice or guarantees of performance, and nothing on our platform should be construed as an assurance of any financial result.

5. Risk Acknowledgment for Trading Activities

By using AlgoIndex’s algorithmic trading software and related services, you understand and accept that trading in financial markets is inherently risky. You acknowledge the following risks and conditions associated with trading activities:

• Market Risk and Potential Losses: Trading securities, futures, options, cryptocurrencies, or any financial instruments involves significant risk. Financial markets are volatile, and the use of algorithmic strategies does not eliminate the possibility of losses. You may lose some or all of your invested capital, and losses may occur rapidly. In some cases, losses could exceed the amount you initially invested. Only risk capital (funds you can afford to lose) should be used for trading.
• No Guarantee of Profits or Success: Past performance is not indicative of future results. Any historical performance metrics, backtesting results, win rates, or profit examples provided by AlgoIndex are illustrative and hypothetical. There is no guarantee that any algorithm, strategy, or information provided will result in profits or achieve any particular outcome.
• Algorithmic & Technical Risks: The use of automated or algorithmic trading software carries unique risks. Algorithms may perform unpredictably under changing market conditions or may contain errors. Technical issues such as software glitches, internet connectivity failures, data feed errors, exchange outages, or broker malfunctions can occur and may result in unintended orders, missed opportunities, or duplicate/erroneous transactions. You are responsible for monitoring your trading activities and ensuring that any automated strategies are functioning as intended.
• Financial Suitability: You should carefully consider your own financial situation, experience, and risk tolerance before using the Service. Algorithmic trading strategies may not be suitable for everyone. If you are unsure about engaging in trading or using leverage or complex instruments, seek advice from an independent financial advisor.
• User Responsibility: You assume all risks associated with your trading and investment activities. AlgoIndex will not be responsible for any trading losses or damages you may incur as a result of using our software, following strategies discussed on our platform, or relying on any information we provide. You agree not to hold AlgoIndex liable for your trading decisions or the outcomes that result from them (subject to the Limitation of Liability in Section 9).

By using the Service, you affirm that you understand the risk disclosures above. Trading is risky by nature, and you proceed at your own risk. If you do not understand or accept these risks, do not use the algorithmic trading features of the Service.

6. Intellectual Property Rights

All content, software, data, and materials provided through the AlgoIndex Service, including but not limited to the algorithmic trading code (such as any proprietary strategies or scripts), indicators, website text, graphics, logos, trademarks, videos, charts, and the design and “look and feel” of the AlgoIndex website (collectively, the “Content”), are the intellectual property of AlgoIndex or its licensors and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws. AlgoIndex™ and any associated logos or brand names are trademarks or service marks of AlgoIndex.

Limited License: Subject to your compliance with these Terms and your payment of any applicable subscription fees, AlgoIndex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and Content for your personal use (or internal business use, if you are an entity) for lawful purposes as intended by the Service.

Restrictions:Except as expressly permitted by AlgoIndex in writing, you shall not: copy, reproduce, distribute, publish, display, perform, transmit, license, sublicense, create derivative works from, or otherwise exploit any part of the Service or Content; reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying algorithms of any software or Content; remove, obscure, or alter any copyright notices, trademarks, or other proprietary rights markings; use any of AlgoIndex’s trademarks, logos, or brand names without our prior written consent; or use the Content for any commercial purpose or for the benefit of any third party, other than as allowed by the limited personal-use license above.

7. Acceptable Use

You agree to use AlgoIndex’s Service and Discord community in a lawful and respectful manner. When accessing or using the Service, you must not engage in any of the following prohibited activities: illegal or unauthorized activities (including insider trading, market manipulation, or fraud); infringement of intellectual property rights; disruption or harmful conduct (introducing viruses, denial-of-service attacks, attempting unauthorized access); automated queries or scraping without express prior written permission; sharing or unauthorized access (the Service is for the subscribing User only — no resale or sublicensing); misuse of the Discord channel (harassment, hate speech, spam, or sharing of false or misleading information); impersonation; or security testing without our prior written consent.

Any violation of the above is grounds for immediate termination or suspension of your access to the Service (including removal from the Discord channel) at AlgoIndex’s sole discretion, in addition to any other legal remedies that may be available.

8. Service Availability and Modification

Service Availability: AlgoIndex aims to provide a reliable and accessible Service, but we do not guarantee 100% uptime or uninterrupted access. The Service may occasionally be unavailable or limited due to scheduled maintenance, updates, technical problems, network delays, or factors beyond our control. AlgoIndex shall not be liable for any inability to access the Service, any suspension of Service, or any losses (such as missed trading opportunities or other damages) that result from Service unavailability or technical issues.

Modification of Service: AlgoIndex reserves the right to modify, update, or discontinue the Service (in whole or in part) at any time, with or without notice. You agree that AlgoIndex shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Modification of Terms:AlgoIndex may amend or update these Terms from time to time. If we make material changes to the Terms, we will notify users by posting the revised Terms on our website (with a new “Last Updated” date at the top) and/or by other reasonable means. Your continued use of the Service after updated Terms have been posted constitutes your acceptance of the revised Terms.

9. Limitation of Liability

Disclaimer of Warranties:The AlgoIndex Service is provided on an “AS IS” and “AS AVAILABLE” basis, without any warranty of any kind. To the fullest extent permitted by law, AlgoIndex disclaims all warranties, express or implied, relating to the Service or any Content provided, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties that may arise from course of dealing or course of performance.

Limitation of Liability: To the maximum extent permitted by applicable law, AlgoIndex and its affiliates, officers, directors, employees, agents, licensors, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever, arising out of or related to your use of (or inability to use) the Service or any content, software, or functionality of the Service. This includes loss of profits or revenues, loss of trading profits or other economic losses, loss of data, goodwill, business opportunity, or reputation, trading losses or investment losses of any kind, computer damage or system failure, and any other indirect or consequential damages, however caused.

Additionally, to the extent permitted by law, the total aggregate liability of AlgoIndex (and its affiliates and agents) for any claims arising out of or relating to the Service or these Terms shall not exceed the amount you paid to AlgoIndex in subscription fees in the 12 months immediately preceding the event giving rise to the claim (or, if you have not paid any subscription fees, $0).

10. Governing Law and Jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Terms or your use of the Service, shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. By using the Service, you agree that the laws of Delaware will govern any disputes between you and AlgoIndex.

Jurisdiction and Venue: You further agree that any legal action or proceeding arising under these Terms or related to the Service shall be brought exclusively in the state or federal courts located in the State of Delaware. You consent to the exclusive personal jurisdiction of such courts, and waive any objections or defenses based on lack of personal jurisdiction or forum non conveniens.

No Class Actions: To the extent permitted by law, you and AlgoIndex agree that any disputes will be resolved only on an individual basis and that you will not bring or participate in a class, consolidated, or representative action against the other party.
